**Key Responsibilities** **1. Legal Support & Governance** - **Business Advisory:** Provide practical, solutions-oriented legal advice to leadership and cross-functional teams on day-to-day commercial, regulatory, and operational matters. - **Risk Mitigation:** Proactively identify legal and compliance risks in business activities, proposing actionable mitigation measures and supporting their execution. - **Contract Management:** Draft, review, negotiate, and advise on a wide range of operational agreements, including commercial, service, procurement, vendor, research, and tender contracts. - **Strategic Project Support:** Provide legal oversight for business-led projects, product launches, strategic partnerships, and new operational initiatives. - **Regulatory Monitoring:** Monitor relevant legal and regulatory developments impacting the business portfolio, assessing their impact and translating them into practical guidance for stakeholders. - **Disputes & Audits:** Support legal audits, internal reviews, inspections, investigations, and disputes, collaborating with external counsel or global headquarters when required. - **Governance Alignment:** Ensure strict alignment with global legal frameworks, human resources legal affairs, and head office guidelines through regular reporting and escalation of material matters. - *Note on Exclusions:* This role acts in an advisory capacity but excludes direct handling of specialized corporate law matters (managed by HQ Corporate), patent/anti-counterfeiting litigation, and HQ-managed global licenses/strategic partnerships. **2. Compliance Support** - **Program Implementation:** Support the roll-out and continuous improvement of the Global Compliance Program in alignment with corporate ethics standards. - **Ethical Culture:** Actively promote a culture of ethics, integrity, and compliance across the assigned business perimeter. - **Assessments & Monitoring:** Contribute to regular compliance risk assessments, internal monitoring activities, and the design of localized mitigation plans. - **Training & Communications:** Deliver and support compliance training programs covering Codes of Conduct, ethical standards, anti-bribery, and anti-corruption principles. - **Third-Party Due Diligence:** Manage and evaluate compliance due diligence for third-party vendors, suppliers, and external partners. - **Event & Sponsorship Review:** Review and approve business activities involving external stakeholders, sponsorships, grants, advisory boards, events, and conferences to ensure compliance with internal policies. - **Investigations & Remediation:** Assist with investigations into alleged policy violations, whistleblower complaints, or regulatory alerts, helping implement corrective and preventive actions (CAPA). - **Data Privacy:** Support compliance with applicable data protection and privacy requirements in coordination with dedicated data privacy experts. **Profile & Requirements** **Minimum Qualifications** - **Education:** Bachelor of Laws (LLB) degree from a recognized institution. - **Experience:** 5 to 8+ years of progressive legal and compliance experience, including significant time spent in an in-house role within a multinational organization
