**Job description :** Company Secretarial **Location: Yelahanka, Bangalore** **You will:** We are looking for a highly organized and detail-oriented Company Secretary to join our team. The ideal candidate will play a crucial role in ensuring compliance with statutory and regulatory requirements, facilitating effective governance practices, and supporting the board of directors in their duties. **To be successful, you will be expected to:** - Corporate Governance: Ensure the company adheres to all statutory and regulatory requirements, maintaining high standards of corporate governance. - Meeting Management: Organize and attend board and committee meetings, preparing agendas, distributing materials, and recording minutes accurately. - Record Keeping: Maintain corporate records, including minutes of meetings, resolutions, and statutory registers, ensuring they are up-to-date and compliant. - Regulatory Compliance: Monitor and implement changes in relevant legislation, ensuring timely filing of statutory documents with regulatory authorities. - Shareholder Communication: Assist in the preparation and coordination of annual general meetings (AGMs) and other shareholder communications. - Board Support: Provide guidance to the board on governance best practices and facilitate board evaluations and training. - Liaison: Act as a key point of contact between the board, management, and external stakeholders, including regulatory bodies and auditors. - Policy Development: Assist in the development and implementation of corporate policies and procedures related to governance and compliance. **You must have any or a combination of any of the following skills:** - Bachelors degree in B. Com, Law, or a related field; a professional qualification (e.g., ICSA, ACIS) is highly desirable. - Proven experience in a company secretarial or governance role. - Strong understanding of corporate governance principles, company law, and regulatory requirements. - Excellent organizational skills and attention to detail. - Strong verbal and written communication skills, with the ability to interact effectively with board members and stakeholders. - Ability to work independently and manage multiple priorities in a fast-paced environment.
